This Stock Storage Agreement ("Agreement") is entered into between Total Pharmacy Solutions ABN 40167286464, here in after referred to as the
"Supplier," and you as the business owner here in after referred to as the "customer."

1. Stock Storage

1.1 The customer here by agrees to allow the Supplier to keep a maximum of 6 months worth of stock, as defined in above (attached here to and incorporated by reference), at the supplier's warehouse at no additional charge.

1.2 The stock shall be stored in a manner that ensures its safety, security and quality.

2. Commitment to Purchase

2.1 The customer commits to purchasing the entire stock stored at the supplier's warehouse within the agreed-upon time frame, as specified above.

2.2 The customer acknowledges that the commitment to purchase is binding, and any failure to fulfill this commitment may result in penalties or additional charges as outlined in section 4.

3. Delivery and Inspection

3.1 The supplier shall notify the customer in writing of the availability of the stock for delivery.

3.2 The customer shall inspect the stock upon receipt. Any discrepancies or damages should be reported to the supplier within 7 days of delivery.

4. Penalties for Non-Fulfillment

4.1 In the event the customer fails to purchase the agreed-upon stock within the specified time frame, the customer shall be liable for penalties as outlined above (attached here to and incorporated by reference).

5. Term and Termination

5.1 This agreement shall commence on the date of granting of consent and 180 days afterwards. Supplier will automatically deliver the stock after it has been held for 6 months.

5.2 Either party may terminate this agreement upon a material breach by the other party, provided that the breaching party has failed to cure such breach within 7 days of receiving written notice thereof.

6. Governing Law

This agreement shall be governed by and construed in accordance with the laws of Victoria, Australia

IN WITNESS WHEREOF, the parties here to have executed this Stock Storage Agreement as of the effective date.
